Welcome to Somnerva. These Terms of Service ("Terms") govern your access to and use of the Somnerva website located at somnerva.com (the "Site") and your purchase of any products offered through the Site. By accessing the Site or placing an order, you agree to be bound by these Terms in full. If you do not agree to these Terms, please do not use the Site or purchase any products.

Somnerva is operated by Somnerva LLC ("Somnerva," "we," "us," or "our"), located at 1630 S Princeton Ave Unit #155, Arlington Heights, IL 60005.

1. Eligibility

By using the Site and placing an order, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

Certain features of the Site, including subscription management, may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update that information as necessary. Somnerva reserves the right to suspend or terminate any account at our discretion if we believe the information provided is inaccurate or the account has been used in violation of these Terms.

3. Products and Pricing

All products offered on the Site are dietary supplements intended for use by adults. Product descriptions, images, and information are provided for general informational purposes and are subject to change without notice.

We make every effort to display pricing accurately. However, errors may occur. If a product is listed at an incorrect price, we reserve the right to cancel or refuse any order placed at the incorrect price, whether or not the order has been confirmed or payment processed. In such cases, we will notify you and issue a full refund.

All prices are listed in U.S. dollars and do not include applicable taxes, which will be calculated at checkout.

4. Orders and Payment

By placing an order, you are making an offer to purchase the product(s) in your cart. All orders are subject to acceptance by Somnerva. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, suspected fraud, or errors in product or pricing information.

We accept payment methods as displayed at checkout. Payment is processed at the time your order is placed. You represent that you are authorized to use the payment method provided.

5. Subscriptions

Somnerva offers subscription options for recurring product deliveries ("Subscriptions"). By enrolling in a Subscription, you authorize Somnerva to charge your selected payment method on a recurring basis at the interval you select (e.g., every 30 days) until you cancel.

You may cancel, pause, skip, or modify your Subscription at any time through your customer account portal at account.somnerva.com. Changes made before your next billing date will apply to your upcoming order. Changes made after your billing date will apply to the following cycle.

Subscription pricing may be adjusted from time to time. If the price of your Subscription changes, we will notify you in advance and provide the opportunity to cancel before the new price takes effect.

6. Shipping and Delivery

Somnerva ships to addresses within the United States. Shipping timelines, methods, and costs are displayed at checkout. Estimated delivery times are not guaranteed and may be affected by carrier delays, weather, holidays, or other factors outside our control.

Risk of loss and title for products pass to you upon delivery to the carrier. Somnerva is not responsible for packages lost, stolen, or damaged after handoff to the shipping carrier, though we will work with you in good faith to resolve delivery issues.

7. Returns and Refunds

Returns are subject to the terms outlined in our Return and Refund Policy. By making a purchase, you acknowledge and agree to the terms of that policy.

8. Health and Supplement Disclaimer

Somnerva products are dietary supplements. They are not intended to diagnose, treat, cure, or prevent any disease. The statements made on this Site have not been evaluated by the U.S. Food and Drug Administration (FDA).

The Somnerva name, logo, product names (including Restore, Downshift, Regulate, Clarity), protocol names (including Night Protocol, Day Protocol, Full Protocol), and associated branding elements are trademarks or trade dress of Somnerva LLC. You may not use, copy, reproduce, distribute, modify, create derivative works from, or publicly display any Somnerva content without our prior written consent.

10. Acceptable Use

You agree not to use the Site in any manner that:

• Violates any applicable local, state, national, or international law or regulation
• Infringes on the rights of any third party
• Attempts to interfere with the proper functioning of the Site
• Involves the use of automated systems, bots, or scripts to access the Site without our express written permission
• Involves impersonating any person or entity, or misrepresenting your affiliation with any person or entity

13. Limitation of Liability

In no event shall Somnerva's total liability to you for all claims arising out of or relating to these Terms or your use of the Site or products exceed the total amount you paid to Somnerva in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Somnerva LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

16. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the Site, you agree to first attempt to resolve the dispute informally by contacting us at support@somnerva.com. If the dispute is not resolved within thirty (30) days, either party may pursue formal legal remedies as outlined in the Governing Law section above.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Waiver

The failure of Somnerva to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and Purchase Options Cancellation Policy, constitute the entire agreement between you and Somnerva regarding your use of the Site and supersede any prior agreements or understandings.

20. Changes to These Terms

Somnerva reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date.
